Terms and Conditions of Frank Dental GmbH

General

1. General all delivery and payment conditions apply exclusively, except that Frank Dental GmbH would have expressly consented deviations in written form. Conditions of buyers who differ from the delivery and payment conditions of the Frank Dental GmbH, Frank Dental GmbH doen`t recognize.
2. All arrangements to take the Dental GmbH Frank order execution of a contract / agreement with buyers are defined in the treaty and applicable delivery and payment terms in writing.
3. All agreements shall also apply to repeat orders or exchange.

Offers and Contracts

1. Frank Dental GmbH offers are subject to change.
2. Illustrations, calculations and product-or application-related documents remain the property and copyright of Frank Dental GmbH are subject to a distribution or transfer to third parties requires the written permission of Frank Dental GmbH
3. The representation of the range of Frank Dental on the internet, no offer within the meaning of §§ 145 et seq, and the buyer is from an order by e-mail, fax or call a mandatory tender offer to Frank Dental GmbH. The Frank Dental GmbH is entitled to accept the order by delivering the goods or by the order confirmation email within 7 days from receipt of the order at the Frank Dental GmbH. This applies only in the event that the non-delivery is not in responsibility of Frank Dental GmbH. If the goods from the supplier of Frank Dental GmbH are not available, the Frank Dental GmbH will immediately inform the customer about it and report any previously flown consideration paid by the customer without delay.
4. A receipt email that will automatically immediately generated by the system after receiving the customer's order and sent the recording of telephone or appointment by the Dental GmbH Frank, does not constitute a binding acceptance of the offer by Frank Dental GmbH.

Terms of payment

1. The VAT is not included in the published price quotations, but is listed separately or reported at the time of invoicing in the bill.
2. Overall Frank Dental offers a discount rate of 3% for payment within 7 days. Special discounts or other deductions must be agreed in writing.
3. Unless otherwise agreed have been met, the purchase price is payable net (without deductions) within 14 days from the invoice date. If the buyer for payment in default, the Frank Dental GmbH is entitled to interest on late payments in the amount of lump sum 30,- € to demand.
4. In the specific actions shall be the invoice / insert defined payment terms.
5. For deliveries in Germany the Frank Dental GmbH offers the following payment possibilities, provided that the relevant product description in the offer otherwise provides:
   
   • Credit Card
   • Bank transfer/PayPal
   • Cash on Delivery
6. For products offering abroad, the customer for deliveries abroad following payment possibilities, provided in the relevant product description in the offer otherwise provides:
   
   • Credit Card
   • PayPal

Terms of delivery

1. The delivery time is generally 7 working days. This applies if all of the details for ordering rotary instruments.
2. Should the delivery time is longer than 7 working days, the new delivery date will be communicated to the buyer up to 3 days after receipt of order. A possible withdrawal is reserved for the buyer.
3. The meeting delivery commitments requires the timely and proper performance of the obligation for payment by the buyer.
4. If the Buyer delays acceptance (eg holidays), or violates other cooperation obligations, the Frank Dental GmbH is entitled to make additional expenditure incurred by the buyer into account. Further claims remain reserved.
5. If non-compliance of the delivery period traced back to a third party (eg courier services), not liable Frank Dental GmbH. Claims for damages from the buyer must be directed to the courier.
6. In case force majeure (eg war, strike), the delivery time extended for the duration of the delay caused the event. This applies even if the circumstances arise with suppliers.
7. Piece deliveries are allowed.
8. The Frank Dental GmbH is basically in accordance with statutory provisions.

Complaints

1. The buyer must notify the Frank Dental GmbH product complains or reclamation without delay (from the latest after 2 days of receipt of goods) or to complain in writing. Otherwise, the assertion of comprehension is excluded.
2. The buyer may withhold payments only if a complaint was made and the justification was accepted. If the allegation of is wrong, the Frank Dental GmbH is entitled to expenses incurred by the buyer to get replaced.
3. When repairs (replacement / exchange etc.) the cheapest option can be chosen, unless the buyer incur no disadvantages.
4. Comprehension does not exist for natural wear or damage, the result of faulty or negligent handling, excessive strain, unsuitable equipment or special external influences that are not provided by contract.
5. Comprehension is to be forwarded within 3 days (from display at the Frank Dental GmbH) to the supplier / manufacturer, in accordance with CE mark on each package clearly declared.

Privacy Policy

1. The buyer indicated by the data according to the Federal Data Protection Law (§§ 28, 29 BDSG) stored in the computer and processed. It will only be used for advertising or market research in the name of Frank Dental GmbH. Usage of marketing material has to be signed off by Frank Dental GmbH before official using.

Retention of title

1. The belongings of supplies remain the property of Frank Dental GmbH until all of the business relationship with the buyer incurred claims.
2. The resale at retailers in the usual business practice is only permitted if the reseller receives payments from its buyers or subject that property to the customer by the retailer passes only if all financial obligations are met.
3. Resellers receive deliveries in principle payment.
4. The buyer is obliged to treat the product carefully to ownership.
5. In the duty of the buyer, especially for late payment, Frank Dental GmbH has the right to resign or take back and and and the buyer is obliged to return the goods.

Of performance / jurisdiction

1. All rights and obligations arising from the services of Frank Dental GmbH, is considered of performance at Gmund am Tegernsee.
2. In disputes the district court Miesbach agreed.
3. For all points not explicitly listed, the statutory provisions.
